End User Licence Agreement.

Draft, being finalised. This text is still under legal review and may change before WispFX goes on sale.

This End User Licence Agreement ("Agreement") is between ET "STIVAN-M - Stoyan Georgiev" (ЕТ "СТИВАН-М - СТОЯН ГЕОРГИЕВ"), registered in the Commercial Register of the Republic of Bulgaria, EIK 101052668, VAT number BG101052668, registered office 4 Georgi Kazepov Str., 2800 Sandanski, Bulgaria, email support@wispfx.com ("we", "us") and you, the person or organisation that installs or uses WispFX ("you"). If you accept on behalf of an organisation, you confirm that you are authorised to bind it.

By installing, activating or using WispFX you agree to this Agreement. If you do not agree, do not install or use it. If you bought it and do not agree, see our Refund Policy.

1. What this Agreement covers

"WispFX" or the "Software" means the WispFX After Effects panel, the DaVinci Resolve effect and script, the local matte engine, installers, presets, documentation and any updates we provide, in compiled or source form, but not the Third-Party Components described in section 6.

2. Licence grant

Subject to this Agreement and, for paid licence types, payment of the applicable fee, we grant you a non-exclusive, non-transferable (except as stated in section 4), non-sublicensable, perpetual licence to install and use the version of the Software you licensed, for the licence type you bought:

The founders launch price is a price, not a separate licence type: a founders purchase is an Individual licence unless the checkout states otherwise. It is offered for 14 days from launch or until 500 licences are sold, whichever comes first.

Updates: your licence includes all 1.x updates, free of charge. We have no obligation to release updates, but if we do they are covered by this Agreement unless they come with new terms.

3. What you may not do

You may not, and may not let anyone else:

  1. copy, share, sell, rent, lend, lease, sublicense or redistribute the Software or your licence key, or make it available over a network for others to use, except as allowed in section 2;
  2. use one licence on more computers or by more people than section 2 allows;
  3. remove, bypass or tamper with licence checks, activation, the free-version watermark (including by cropping, masking or painting it out of renders) or integrity checks;
  4. decompile, disassemble or reverse engineer the compiled parts of the Software, except to the extent the law where you live expressly permits it despite this restriction (for example, for interoperability under EU Directive 2009/24/EC);
  5. use the Software to provide a hosted or cloud matte service to third parties without our written agreement;
  6. use the Software in breach of any law, or of the Third-Party Licences in section 6.

Your output (the mattes and composites you make) is not restricted by this section. See section 7.

4. Transfer

An Individual licence may be transferred once to another person if you deactivate all your installations, stop using the Software, and tell us at support@wispfx.com so we can move the licence. Education and founders-priced licences [may / may not] be transferred. Licences bought through a reseller (for example aescripts + aeplugins) may also be subject to that reseller's transfer rules.

5. Activation, licence checks and data

The free version needs no activation and makes no licence checks. To remove the watermark you enter a licence key, which needs an internet connection once.

Keys bought on Gumroad are checked with Gumroad's licence service (api.gumroad.com). The Software then re-checks the key in the background about every 3 days while you are online, and keeps working offline for up to 14 days after the last successful check. After that, renders are blocked until one check succeeds. Each licence counts its computers through Gumroad; to move a licence to a new computer, deactivate the old one and contact support@wispfx.com.

To prevent misuse the Software stores a sealed activation file on your computer and creates a machine fingerprint made of one-way hashes of your Windows Machine GUID, your NVIDIA GPU identifier and your system volume serial number. Details are in our Privacy Policy at https://wispfx.com/privacy. If a payment is refunded or charged back, the licence is deactivated at the next check and the Software returns to watermarked renders.

6. Third-party components and model licences (important)

WispFX drives AI models and open-source software made by others ("Third-Party Components"). Most are not included in the download. The setup program and the first-run model download fetch them directly from their publishers to your computer. These include:

  • Lightricks LTX-2.5 models (the Alpha-Gen IC-LoRA, video VAE and a quantised LTX-2.5 transformer), licensed by Lightricks Ltd. under the LTX-2.x Community License Agreement and its Acceptable Use Policy;
  • Meta SAM 3 (optional, for Pick Subject), licensed by Meta Platforms under the SAM License;
  • ComfyUI and other open-source software licensed under the GNU GPL v3, Apache 2.0, BSD, MIT and other licences, listed in THIRD_PARTY_NOTICES.txt.

You agree that:

a. You accept the model licences yourself, separately, with their licensors. You download the model weights with your own Hugging Face account and must accept the Lightricks licence (and, if you use Pick Subject, the SAM License) before use. We do not grant, and cannot grant, any rights in those models.

b. Revenue threshold. Under the LTX-2.x Community License, an entity with annual revenue of USD 10,000,000 or more (including its affiliates) must obtain a paid commercial licence from Lightricks to use the LTX models other than for limited non-commercial testing. Buying a WispFX licence, including a Studio licence, does not give you that licence. If this applies to you, contact Lightricks at https://ltx.io/model/licensing before production use.

c. Use restrictions. You will comply with the use-based restrictions in Section 4 and Attachment A of the LTX-2.x Community License, and with the prohibited uses in the SAM License. They are reproduced in Schedule 1 and Schedule 2 of this Agreement and form an enforceable part of it. Among other things you must not use the models or their output to impersonate people without consent (for example deepfakes), to harm minors, for military or weapons purposes, or to circumvent their safety, watermarking or provenance features, and you must disclose that content is machine-generated where the LTX licence requires it.

d. Open-source software keeps its own licence. Nothing in this Agreement limits the rights the GNU GPL or any other open-source licence gives you for that component. Source code for GPL components is available from the links in THIRD_PARTY_NOTICES.txt.

e. Third-party licensors may change their terms or withdraw downloads. We are not responsible for their availability, terms or performance, but we will try to keep WispFX working with current versions.

7. Your content and output

You keep all rights you have in the footage you process and in the mattes and other output you create ("Output"). We claim no rights in your Output. Processing happens on your computer; we do not receive your footage or Output. You are responsible for having the rights to the footage you process and for how you use the Output, including compliance with the model licences in section 6.

8. AI output disclaimer

WispFX uses machine-learning models whose results vary with the footage. Mattes can contain errors such as missing or extra areas, edge artefacts, flicker between frames, colour changes from despill, or wrong subject selection. You must review all Output before delivering or publishing it. Output is not suitable for any use where an error could cause injury, legal or financial harm, and you must not rely on it for such uses.

9. Warranty

If you are a consumer in the EU, EEA or UK, you have statutory rights regarding digital content that conforms to the contract (for example under EU Directive 2019/770 as implemented in your country). Those rights are not affected by this Agreement, and the next paragraph applies only to the extent the law allows.

To the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy of Output, or that the Software will be error-free or work with every GPU, driver, host application version or piece of footage. Published system requirements (Windows 10/11, NVIDIA GPU, VRAM per preset) describe tested and estimated configurations, not a guarantee for every system.

10. Limitation of liability

To the maximum extent permitted by law:

a. we are not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, data, footage, render time, business or goodwill;

b. our total liability under or in connection with this Agreement is limited to the amount you paid for the licence in the 12 months before the claim.

These limits do not apply to liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud, for intent or gross negligence, or under mandatory product liability law. Consumers: if you are a consumer, these limits apply only to the extent permitted by the consumer law of your country of residence.

11. Termination

This Agreement ends automatically if you materially breach it, for example by sharing your key or bypassing licence checks, and you do not cure the breach within 14 days after we notify you (no cure period applies to deliberate circumvention). When it ends you must stop using and uninstall the Software. Sections 6c, 7, 8, 9, 10, 12 and 13 survive. Refunds or chargebacks end the licence for the refunded seats.

12. Export and sanctions

You confirm that you are not located in, or a resident of, a country or region subject to comprehensive EU, UN or US sanctions, and are not on a sanctions list, and that you will not use the Software or the models in breach of export-control law. (The LTX and SAM licences contain similar obligations.)

13. General

  • Governing law: This Agreement is governed by the laws of the Republic of Bulgaria, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice does not deprive you of the protection of the mandatory consumer laws of the country where you habitually live (art. 6(2) of Regulation (EC) No 593/2008), and you may bring proceedings in the courts there.
  • Courts: For business customers, the competent court in Bulgaria for our registered office, [court, e.g. Районен съд Сандански or Окръжен съд Благоевград depending on the value of the claim; lawyer to confirm]. Consumers can only be sued in the courts of the country where they live.
  • Out-of-court dispute resolution: Consumers may refer a dispute to an ADR body; in Bulgaria, the general conciliation commissions at the Commission for Consumer Protection (www.kzp.bg). [Lawyer to confirm the required wording. The EU ODR platform closed in July 2025.]
  • Reseller purchases: If you bought through a reseller or merchant of record (for example Gumroad, aescripts + aeplugins, Paddle or Lemon Squeezy), your payment contract is with that reseller and their terms govern payment, tax and refunds. This Agreement governs your use of the Software.
  • Entire agreement: This Agreement, the Terms of Sale and the Privacy Policy are the entire agreement about the Software. If any part is unenforceable, the rest remains in force.
  • Changes: We may update this Agreement for future versions. The version you accepted continues to apply to the version you licensed unless you accept new terms.

Schedule 1: LTX-2.x use restrictions (flow-down)

You agree to comply with Section 4 and Attachment A of the LTX-2.x Community License Agreement (11 August 2026) published by Lightricks Ltd. at https://github.com/Lightricks/LTX-2/blob/main/LICENSE-2_x, together with the Lightricks Acceptable Use Policy at https://static.lightricks.com/legal/ltx-acceptable-use-policy.pdf, as updated by Lightricks. A full copy of the licence is included in the licenses folder of the WispFX package.

OWNER NOTE (delete this paragraph before publishing): the two texts in the code block below are a verbatim copy of Section 4 and Attachment A of licenses/LTX-2.x-Community-License.txt (LTX-2.x Community License Agreement, 11 August 2026). Section 3.1 of that licence requires them to be included as enforceable terms. If the licence file changes, copy the new text again. Do not paraphrase.

4. Use-based restrictions. The restrictions set forth in Attachment A
are considered Use-based restrictions. Therefore, you cannot use
LTX-2.x and the Derivatives of LTX-2.x in violation of the
specified restricted uses. You may use LTX-2.x subject to this
Agreement, only for lawful purposes and in accordance with the
Agreement. "Use" may include creating any content with,
fine-tuning, updating, running, training, evaluating and/or
re-parametrizing LTX-2.x. You shall require all of your users who
use LTX-2.x or a Derivative of LTX-2.x to comply with the terms of
this Section 4.

         Attachment A
       Use Restrictions

When using the Outputs, LTX-2.x and any Derivatives thereof, you
agree to comply with the Acceptable Use Policy
(https://static.lightricks.com/legal/ltx-acceptable-use-policy.pdf)
which is hereby incorporated into and made part of this Agreement by
reference. Licensor may update it from time to time, and the version
in effect at the time of your use governs; continued use after an
update constitutes acceptance. Licensor shall post each version of
the Acceptable Use Policy with its effective date, and no update
shall apply retroactively to use occurring before that effective
date. In addition, you agree not to use the Outputs, LTX-2.x or its
Derivatives in any of the following ways:

1) In any way that violates any applicable national, federal,
state, local or international law or regulation;

2) For the purpose of exploiting, Harming or attempting to exploit
or Harm minors in any way;

3) Knowingly generate or disseminate verifiably false information
and/or content with the intent to deceive, defraud, or
otherwise unlawfully Harm others;

4) To generate or disseminate personal identifiable information
that can be used to Harm an individual;

5) To generate or disseminate information and/or content (e.g.
images, code, posts, articles), and place the information
and/or content in any context (e.g. bot generating tweets)
without expressly and intelligibly disclaiming that the
information and/or content is machine generated;

6) To defame others, or to engage in the unlawful harassment of
others;

7) To impersonate or attempt to impersonate (e.g. deepfakes)
others without their consent;

8) For fully automated decision making that adversely impacts an
individual's legal rights or otherwise creates or modifies a
binding, enforceable obligation;

9) For any use intended to or which has the effect of
discriminating against or Harming individuals or groups based
on online or offline social behavior or known or predicted
personal or personality characteristics;

10) To exploit any of the vulnerabilities of a specific group of
persons based on their age, social, physical or mental
characteristics, in order to materially distort the behavior
of a person pertaining to that group in a manner that causes
or is likely to cause that person or another person physical
or psychological Harm;

11) For any use intended to or which has the effect of
discriminating against individuals or groups based on legally
protected characteristics or categories;

12) To provide medical advice and medical results interpretation;

13) To generate or disseminate information for the purpose to be
used for administration of justice, law enforcement,
immigration or asylum processes, such as predicting an
individual will commit fraud/crime commitment (e.g. by text
profiling, drawing causal relationships between assertions
made in documents, indiscriminate and arbitrarily-targeted
use);

14) To generate and/or disseminate malware (including - but not
limited to - ransomware) or any other content to be used for
the purpose of harming electronic systems;

15) To engage in, promote, incite, or facilitate discrimination or
other unlawful or harmful conduct in the provision of
employment, employment benefits, credit, housing, or other
essential goods and services;

16) To engage in, promote, incite, or facilitate the harassment,
abuse, threatening, or bullying of individuals or groups of
individuals;

17) For military, warfare, nuclear industries or applications,
weapons development, or any use in connection with activities
that may cause death, personal injury, or severe physical or
environmental damage;

18) For commercial use only: To train, improve, or fine-tune any
other machine learning model, artificial intelligence system,
or competing model, except for Derivatives of LTX-2.x as
expressly permitted under this Agreement;

19) To circumvent, disable, or interfere with any technical
limitations, safety features, content filters, watermarking,
content provenance or latent disclosure functionalities, or
use restrictions implemented in LTX-2.x by Licensor;

20) To use LTX-2.x or Derivatives of LTX-2.x in any product,
service, or application that directly competes with Licensor's
commercial products or services, or is designed to replace or
substitute Licensor's offerings in the market, without
obtaining a separate commercial license from Licensor.

Schedule 2: SAM License prohibited uses (flow-down)

If you use Pick Subject (SAM 3), you agree to the SAM License published by Meta Platforms, Inc. at https://huggingface.co/facebook/sam3 (copy in the licenses folder), including its trade-control obligations and its prohibition on use for military or warfare purposes, nuclear industries or applications, espionage, ITAR-controlled activities, and guns or illegal weapons, and on reverse engineering of the SAM Materials.
